1.1 By using the site of Viva Companions, the member would declare that he/she is aware of the terms and conditions which apply to the legal relationship between Viva Companions and the Member which includes written and verbal agreements even after the agreement is terminated, unless either of the parties have deviated in writing from these terms and conditions.
1.2 Viva Companions is a referal booking agency for independent contractors on its site. Under some circumstances, there would be other terms and conditions which would apply which the Member would receive from the particular partner concerned for the services.
1.3 Viva Companions has the right to change these Terms and Conditions at any time.
II Website
2.1 All of the material on the website of Viva Companions, including the graphic representations, photographs, Flash/Java/HTML source codes, software and text is protected by US Copyright Act individually as well as collectively. Using or downloading any of this copyrighted material, made available by the Club Viva Companions or any of the third parties can only be permitted for the personal use of the Member so far as it takes place with the statutory provisions and the terms and conditions. However, Members cannot commercially exploit, publish, sell, copy, imitate or reproduce any of this material and cannot convert it into any other type of data way electronically or otherwise or use it any way.
2.2 Viva Companions or the third parties may or may not include the links to the other sites. There is no control that Viva Companion has over these sources or website and is not responsible for the availability of these external sources or sites. The content which is accessible through these sites does not form a part of the content available on the website of Viva Companions. All possible liability is excluded by Viva Companions in this regard.
2.3 Viva Companions might keep the website and may temporarily take it out of service or might limit the its functioning if it is necessary for adapting the content or for maintenance without giving rise to any compensation right.
III Services
3.1 Viva Companions` services can only be used if the identity details are provided.
3.2 We are entitled to introduce or extend other changes to our services at all times. These terms and conditions would also apply to these changes.
3.3 Minors cannot register to the services of Viva Companions.
3.4 Viva Companions is entitled to deny services or access to any Member to any particular service without providing any resons for it.
3.5 Paid services are offered by the independent contractors in regards to this website. The payment which constitutes of valid discharge for the services however may be made through Viva Companions.
3.6 The Member must undertake not to use the services which are contrary to the Act, the terms and conditions, the law or any other conditions or instructions in regards to the service.
IV Limitation of Liability
4.1 Information that the Member would receive in regards to the services of Viva Companions, whether through email, website, verbally or in writing would not give rise to any kind of liability.
4.2 The breach to the performance of any obligation by any of the partners cannot be attributed directly to Viva Companions.
4.3 We do not accept any liability for any type of damage, if it relates to any type of indirect damage, including but not just limited to loss of turnover, loss of profits or consequential damage. Viva Companions would also not be responsible for the damage to the Member which is caused by any third party. The compensation amount would be limited only to the actual or the intended transaction.
V Personal Data
5.1 We respect the privacy of the independent contractor and the Member. The personal data is not sold and kept outside US.
5.2 We are obliged to keep all of the information regarding an introduction to any independent contractor totally confidential and we treat such information according to the terms and conditions. The Member would have to give permission to Viva Companions in order to pass on and process the information where it is necessary for the service.
VI Applicable Jurisdiction and Law
6.1 US law applies to all the Terms and Conditions mentioned above. Any dispute related to the website, its services, functioning an content would be submitted for that purpose to competent court.
